Terms of Service

Draft. These terms are a working draft prepared for founder review and have not yet been reviewed by qualified legal counsel. They describe the intended deal in plain language but should not be relied on as a final legal document.

1. The service

TerritoryWire provides a weekly emailed digest of scored, quality-reviewed buying signals — companies showing public evidence of intent to adopt, migrate to, or expand their use of the HubSpot platform — for a subscriber-selected territory, together with supporting evidence, commentary, and business contact details. The email digest is the product; the website is informational.

2. Who may subscribe

The service is offered to businesses only (B2B). By subscribing you confirm you are acting in the course of business, not as a consumer.

3. Trials, billing, and cancellation

  • Every subscription begins with a 14-day free trial. No payment card is required to start a trial; we will ask for payment details before the trial converts.
  • Paid plans are billed monthly in advance via Stripe at the rate shown on our pricing page at the time you subscribe. Annual prepay, where chosen, is billed once in advance and equals ten monthly payments (2 months free).
  • You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not give pro-rated refunds for partial periods, except where required by law or where Section 6 (our mistake on exclusivity) applies.
  • Price increases apply to new customers only; your rate is locked while your subscription remains continuously active.

4. Territories and caps

  • Each territory is limited to at most 3 Market Intelligence subscribers, or exactly 1 Exclusive Territory subscriber.
  • Exclusive Territory means we will not deliver that territory's digest to any other subscriber while your exclusive subscription is active.
  • If you cancel an exclusive subscription, the slot becomes available to others, including your competitors, from the end of your billing period.
  • If we split a territory to meet demand, existing exclusive subscribers retain their original territory footprint at no extra cost. This commitment survives any grid change.

5. Acceptable use of the digest

  • Your subscription is for your organization's internal business development use. You may not resell, redistribute, republish, or syndicate digest content or the underlying data, in whole or in part, outside your organization.
  • You are responsible for your own outreach: emails or calls you make to contacts in the digest must comply with the laws that apply to you (including CAN-SPAM, GDPR/PECR, PDPA, and equivalents).
  • We may suspend or terminate subscriptions that breach this section, with notice and a pro-rated refund of any prepaid, undelivered period.

6. What we promise — and what we don't

  • Every digest item passes a two-stage quality review before delivery — including a verbatim check of the quoted evidence against its public source — and every claim about a company is backed by the cited public evidence as we found it.
  • We do not and cannot guarantee that any signal converts into business, that a company will respond, or that the underlying posting remains live. Signals are interpretations of public data, provided for information, not advice.
  • If we breach an exclusivity commitment through our own error, your remedy is a full refund of the affected months — our liability cap for that failure.
  • Otherwise the service is provided "as is", and our total aggregate liability under these terms is limited to the fees you paid us in the 3 months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.

7. Data and privacy

Our handling of data, including business contact data contained in digests, is described in our Privacy Policy. If a contact in your digest asks you to delete their details, please also tell us so we can suppress them upstream.

8. Intellectual property

The digest's curation, scoring, commentary, and presentation are our intellectual property, licensed to you for the term of your subscription. Public facts remain public facts.

9. Changes to the service or these terms

We may improve or change the service's mechanics (sources, scoring, format) at any time, provided the substance — a weekly, quality-reviewed, territory-scoped signal digest — is preserved. We may update these terms with 30 days' notice by email; continued use after that constitutes acceptance. If you object, you may cancel and receive a pro-rated refund of any prepaid period.

10. Governing law

These terms are governed by the laws of Singapore, and disputes are subject to the non-exclusive jurisdiction of the courts of Singapore.
